Comprehensive Operational Protocols & Legal Agreement
Welcome to Nuplus Corp. By accessing our website, visiting our facility at 2241 Light St, Bronx, NY, or authorizing any repair services (Auto Body or Mechanical), you ("Customer," "Vehicle Owner") agree to be bound by the following Terms of Service. These terms constitute a legally binding agreement between you and Nuplus Corp ("Company," "We," "Us"). If you do not agree to these terms, strictly prohibited from using our services.
01. Repair Authorization & Scope of Work
1.1 Grant of Authority: You hereby authorize Nuplus Corp and its employees, contractors, and agents to perform the repair work set forth in the initial estimate and any subsequent supplements approved by you or your insurance carrier. This authorization extends to all collision repairs, paint work, mechanical repairs, electrical diagnostics, and system calibrations. You further authorize the digital capture and cloud-based storage of your identification and signatures via Cloudinary for the purpose of maintaining permanent repair records.
1.2 Operation of Vehicle: You expressly grant permission to Nuplus Corp personnel to operate the vehicle on streets, highways, or elsewhere for the purpose of testing, inspection, and delivery. This includes driving the vehicle to third-party specialists (e.g., wheel alignment shops, dealership calibration centers) if such services are required to complete the repair.
1.3 Subcontracting: We reserve the right to sublet any portion of the repair work (including but not limited to glass replacement, upholstery, mechanical machining, or towing) to qualified third-party vendors.
1.4 Digital Documentation Consent: You consent to the digital photography and video recording of your vehicle, including its interior and onboard electronics. You further consent to the high-resolution scanning of your government-issued identification. These digital assets are required for insurance processing and facility security. You acknowledge that these assets will be managed via Cloudinary, a third-party media management service.
02. Financial Liability & Payments
2.1 Accepted Payment Methods: All repair charges must be paid in full prior to the release of the vehicle. We accept the following methods:
- Cash: Accepted in person.
- Credit/Debit Cards: Visa, MasterCard, American Express, Discover (Processed securely via Merchant Lynx terminals in-person).
- Digital Wallets: Google Pay, Apple Pay, Cash App Pay (Tap-to-pay).
- Online Invoices/Booking: Deposits and prepayments processed via Square.
- Bank Transfers: ACH Bank Account payments.
- Buy Now, Pay Later (BNPL): Afterpay.
We do not accept personal checks. Nuplus Corp utilizes third-party payment processors (Merchant Lynx and Square) to handle financial transactions securely. We do not store full credit card details on our local systems.
2.2 Invoice Generation & Record Retention: By engaging our services, you acknowledge and agree that Nuplus Corp is legally required by New York State and NYC tax laws to generate and retain a detailed invoice for every transaction. This invoice will contain your name, contact details, vehicle information (VIN, plate, mileage), and service history. This data is stored securely for tax audit, compliance, and warranty purposes. You consent to the creation and archival of these digital records, including digital signatures, in our cloud infrastructure managed by Cloudinary.
2.3 Buy Now, Pay Later (Afterpay) Disclaimer: If you elect to use Afterpay or any financing option, you acknowledge that you are entering into a separate lending agreement with the financial service provider. Nuplus Corp is not a lender or creditor. Any disputes regarding interest, payment schedules, or credit reporting must be directed to Afterpay. Nuplus Corp is paid upfront by the provider; therefore, any refunds or cancellations involving BNPL methods are subject to the provider's specific refund policies and processing times.
2.4 Insurance Shortfalls: You acknowledge that you are the primary obligor for all repairs. While we assist in the insurance claim process, if your insurance carrier denies coverage, or pays less than the final invoice amount for any reason (including betterment or deductible), you are personally liable for the difference.
2.5 New York Mechanic's Lien: Pursuant to New York Lien Law § 184, Nuplus Corp asserts an express mechanic's lien on your vehicle to secure the cost of repairs, parts, storage, and towing. We retain the right to hold possession of the vehicle until the bill is paid in full. Digital evidence of repair authorization (scanned IDs and signatures stored on Cloudinary) will be used to enforce this lien if necessary.
2.6 Abandonment & Auction: If a vehicle is left at our facility for an extensive period of time after notification of repair completion without payment, we reserve the right to initiate lien sale proceedings to satisfy the debt, in accordance with applicable New York State notification laws and procedures.
2.7 Digital Signature Binding: You agree that any digital signature provided at our facility or via our digital invoicing system is the legal equivalent of a manual signature. You acknowledge that digital copies of your identification and signature stored by Cloudinary serve as valid proof of identity and authorization for all financial and legal purposes under this agreement.
2.8 Digital Communications & Receipts: By providing your phone number or email, you authorize Nuplus Corp to deliver requested or automated transactional records (invoices, receipts, and service updates) via SMS and email. For SMS, message and data rates may apply, and frequency varies. While these are transaction-based, you may reply STOP to any SMS to opt-out of future automated messaging. We utilize SignalWire (SMS) and Brevo (Email) to facilitate these communications. By utilizing these digital delivery methods, you acknowledge that your contact information will be processed by these third-party gateways for the limited purpose of message transmission and delivery verification.
03. Estimates, Supplements & Hidden Damage
3.1 Preliminary Nature of Estimates: The original estimate provided is based solely on a visual inspection of visible damage. Collision damage often extends to internal components not visible until disassembly.
3.2 Supplements: If hidden damage is discovered during the tear-down process, work may pause while a "Supplement" is created. This supplement will be submitted to you or your insurance adjuster for approval. You acknowledge that the discovery of hidden damage will increase the final cost and extend the estimated completion date.
3.3 Total Loss: If, upon disassembly, the cost of repairs exceeds the vehicle's value (Total Loss), you will be responsible for tear-down charges, storage fees, and administrative fees incurred up to that point, unless covered by your insurer.
04. Parts Policy & Usage
4.1 Part Types: Repairs may utilize New Original Equipment Manufacturer (OEM) parts, Aftermarket (Non-OEM) parts, Remanufactured parts, or Recycled/Used (LKQ) parts, depending on vehicle age, parts availability, and insurance policy mandates.
4.2 Returns & Restocking: If you cancel repairs after parts have been ordered, you will be liable for any shipping costs and restocking fees charged by the vendors (typically 15-25%).
4.3 Paint Matching: We utilize the PPG Moonwalk™ system for high-precision color matching. However, due to natural weathering, fading, and prior paint work on your vehicle, a 100% microscopic match to adjacent panels cannot be strictly guaranteed, though we employ blending techniques to minimize visual difference.
05. Storage Fees & Pickup
5.1 Notification: You will be notified via phone or email when your vehicle is ready for pickup.
5.2 Grace Period: You have a grace period of three (3) business days following notification to retrieve your vehicle.
5.3 Storage Charges: Commencing on the fourth (4th) business day, daily storage fees will be applied to your final invoice. Storage rates vary depending on whether the vehicle is stored inside or outside our facility and are subject to change. Storage fees are strictly enforced and are not covered by most insurance policies. Current rates are available upon request.
06. Liability & Personal Property
6.1 Personal Items: Nuplus Corp is NOT responsible for loss or damage to personal articles left in the vehicle (e.g., electronics, sunglasses, cash, clothing). Please remove all personal items, including E-ZPass tags and garage openers, before dropping off your vehicle.
6.2 Force Majeure: We are not liable for loss or damage to the vehicle caused by fire, theft, vandalism, riots, civil commotion, strikes, storms, floods, or other causes beyond our control (Acts of God), unless such loss is directly caused by our gross negligence.
6.3 Loss of Use: We are not liable for incidental or consequential damages, including but not limited to loss of use of the vehicle, loss of time, inconvenience, or commercial loss (e.g., lost wages).
6.4 Data Liability: While we employ industry-standard security measures to protect the invoice and transaction records we are required to store by law, we are not liable for data breaches occurring on third-party systems (Square, Merchant Lynx, Cloudinary) that are outside of our direct control. You acknowledge that identification scans and vehicle media are hosted on Cloudinary and you release Nuplus Corp from liability for any unauthorized access to those third-party servers.
07. Limited Warranty
7.1 Auto Body Workmanship: Nuplus Corp provides a limited lifetime warranty on metalwork and collision craftsmanship for as long as you own the vehicle. This covers welding, structural repairs, and assembly.
7.2 Paint: Paint work is warranted against peeling, blistering, and fading for a period of five (5) years, prorated. This warranty excludes damage caused by stone chips, scratches, environmental fallout (bird droppings, tree sap), or improper care (automated car washes).
7.3 Parts: Parts (Body and Mechanical) are warranted solely by the manufacturer's warranty. Nuplus Corp makes no independent warranty regarding parts.
7.4 Mechanical Repairs: Unlike body work, mechanical repairs (including suspension, electrical, and engine work) are warranted for a period of twelve (12) months or 12,000 miles, whichever comes first, unless a different warranty period is explicitly stated on the invoice. This covers labor for the installation of the part.
08. Dispute Resolution & Venue
8.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles.
8.2 Venue: Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Bronx County, New York. You hereby consent to the personal jurisdiction and venue therein.
8.3 Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. To the full extent permitted by law, (i) no arbitration or proceeding shall be joined with any other; (ii) there is no right or authority for any dispute to be arbitrated or resolved on a class action-basis.
